I. Quotes, order acknowledgements and delivery

1. Quotes, orders and delivery times are binding if they are signed by Ferdinand Menzl Medizintechnik GmbH.
   
2. In case of delays, which are not caused by Ferdinand Menzl Medizintechnik GmbH (delay caused by sub-suppliers), the delivery time extends correspondingly. Ferdinand Menzl Medizintechnik GmbH is entitled to make partial deliveries.
   
3. Indemnity claims due to delivery delays or other reasons are excluded, as long as Ferdinand Menzl Medizintechnik GmbH cannot be blaimed of intent or gross negligence.
   
4. Potential returns have to be adjusted with Ferdinand Menzl Medizintechnik GmbH before shipment.
   
5. Reclaims can only be considered within 3 days after receipt of the shipment.
   

1. Payments will be made - unless arranged differently - via cash on delivery, credit card or pre-payment. Cash on delivery fees will be charged to the customer and does not apply with pre-payment.
   
2. In case of late payment by the customer, Ferdinand Menzl Medizintechnik GmbH is entitled to charge 7% default interests above the market rate of the Austrian National bank. For punctual payment the date of crediting on the bank account of Ferdinand Menzl Medizintechnik GmbH is relevant. Incoming payment will be assigned to the oldest open invoices.
   
3. The customer is only allowed for recourse or cross claims, if the complaint has been determined legally or has been accepted in written form by Ferdinand Menzl Medizintechnik GmbH.
   
4. In case of late payment by the customer Ferdinand Menzl Medizintechnik GmbH reminder fees, lawer costs and charges for a debt collection agency have to be covered by the customer.
   
5. In case of deterioration of the customers' fortune ratio, Ferdinand Menzl Medizintechnik GmbH is entitled to deny deliveries, demand immediate complete payment of all outstanding invoices - regardless of previously arranged payment terms or respites - or withdraw from the purchase contract and reclaim already delivered products.
   

1. All delivered products are property of Ferdinand Menzl Medizintechnik GmbH until complete payment. The customer is obligated to inform Ferdinand Menzl Medizintechnik GmbH immediately about possible executions on products delivered and not paid yet. The customer is not allowed to a security transfer or bailment of conditional goods.
   
2. In case of default in payment, the customer grants admittance to remaining unpaid products of Ferdinand Menzl Medizintechnik GmbH. Should the customer not comply with this demand, Ferdinand Menzl Medizintechnik GmbH is entitled to let the corresponding rooms be opened under constult of a neutral representative by a locksmith on costs of the customer.
3. Returned conditional goods will be utilized by Ferdinand Menzl Medizintechnik GmbH in the best possible way and the proceeds will be used to amortise all open debt.
   

1. Indemnity claims are basically excluded, unless Ferdinand Menzl Medizintechnik GmbH can be blaimed of intent or gross negligence.
2. Shipping costs for warranty adjustments will not be covered by Ferdinand Menzl Medizintechnik GmbH.  

For all disputes between the customer and Ferdinand Menzl Medizintechnik GmbH the mutually agreed place of juristification is Vienna.

VI. Validity

1. Above delivery- and payment terms apply to all executed business between the customer and Ferdinand Menzl Medizintechnik GmbH.
2. Deviant and supplementary agreements require written form to be valid.
